By enrolling in Effortless Coaching Practice services, you consent to abide by the terms, conditions, and policies outlined herein. Effortless Coaching Practice reserves the right to modify and update these Terms of Service by posting any revisions or amendments on this website. It is recommended that you periodically review the Terms of Service for any updates or changes that may affect you. Before becoming a client of Effortless Coaching Practice, you must read, agree to, and accept all the terms and conditions outlined in this Terms of Service agreement and the Privacy Policy.

COACHING PARTNERSHIP TERMS

 

Coaching is a collaborative alliance between the Coach and the Client to inspire personal and professional growth. Coaching addresses personal projects, business success, and general life or work conditions. It helps in setting and achieving goals and removing obstacles. Successful coaching requires active involvement and cooperation between the Client and the Coach.

Additional conceptual education and advisory services may be offered, but implementing advice is solely the Client's responsibility.

During the coaching program, the Coach will respond to the Client's emails within 24 hours (excluding weekends and holidays). 

Exercises and educational materials will be provided to facilitate transformation. The Coach may offer services outside regular coaching hours, billed hourly upon request.

COACH-CLIENT RELATIONSHIP

The Coach commits to upholding the ethics and standards established by the International Coach Federation (ICF) and encourages the Client to review the ICF Code of Ethics.

The Client acknowledges that coaching covers various aspects of life and business. They agree to take full responsibility for decisions and actions related to these areas, incorporating coaching principles at their discretion.

The Client understands that coaching is not a substitute for mental health care, therapy, or treatment. They agree to seek appropriate professional advice for such matters if required. If the Client is currently under the care of a mental health professional, they agree to inform both their mental health provider and the Coach about their coaching and therapeutic engagement.

The Client agrees to seek guidance from qualified professionals for specific legal, mental, medical, financial, business, fitness, digital, or spiritual matters. The Coach may recommend seeking expert advice when necessary.

The Client understands that achieving results requires open and honest communication, being receptive to feedback, actively participating in the program, taking session notes, and allocating time and energy for full engagement.

Depending on the coaching program, assessments may be used before and after the engagement to gauge progress. The Client's written consent is required for the 360 evaluation.

The Client agrees to confirm scheduled sessions, reach out for support between sessions if needed, and be punctual for each appointment.

In the coaching relationship, the Coach acts as a facilitator of change. However, the Client's responsible for actively participating, evolving, and implementing the desired changes. 

Throughout the coaching relationship, the Client is solely responsible for their physical, mental, and emotional well-being and decisions, choices, and outcomes resulting from the coaching services.

RESULTS DISCLAIMER

 

Coaching outcomes vary for each person, and specific results cannot be guaranteed. Progress and results are influenced by individual circumstances, backgrounds, and efforts.

Coaching services involve a collaborative approach, where the Client and the Coach work together to identify objectives, create action plans, and explore possibilities for personal growth. The Coach strives to support the Client throughout the journey, but the Client's dedication, commitment, and readiness for change play crucial roles in the coaching process.

The Client acknowledges that they are solely responsible for their actions, choices, and decisions made during and after the coaching sessions. The Coach provides guidance, but the ultimate responsibility lies with the Client.

PAYMENT AND BILLING

 

The three-month fee is to be paid in advance. Monthly or quarterly fees are to be replenished as pre-payment within 72 hours before the next billable period. Upon receipt of the invoice, payment is due in full and can be made through PayPal, credit or debit card, or bank transfer. Failure to make timely payments may result in session cancellation.

PRICE INCREASES

 

In case of any price increases, the Client will be notified 30 days in advance. Increases will apply only after the completion of the existing Agreement.

 

REFUNDS

 

If the Client withdraws from their coaching package within the first 24 hours after purchase, they will receive a full refund minus a transaction fee.

If the Client achieves results sooner than expected, they can use the remaining coaching sessions within the pre-agreed time frame or request a refund of unused sessions minus a 5% transaction fee.

PROGRAMME EXTENSION

Specific results and goal completion within a set timeframe cannot be guaranteed. The Client may extend the program length for desired outcomes with a progressive loyalty offer based on the length of engagement.

UPGRADE SESSIONS

The Client may purchase additional coaching sessions between scheduled appointments within the current Agreement at 75% of the regular session cost.

ADDITIONAL COSTS

Expenses for materials, off-site sessions, trainings, travel, assessments, and related costs will be approved by the Client via email and incorporated into the Agreement.

AUTOMATIC PAYMENT AUTHORISATION AND RECEIPT

By selecting a debit card or credit card as the payment method, the Client grants the Coach permission to automatically charge their card according to the chosen payment plan. The Coach is authorised to charge the Client's card for any pre-agreed and confirmed unpaid charges. Each automatic payment will be deducted after the submission of the invoice.

PAYMENT INFORMATION ACCURACY

The Client affirms the accuracy of all payment information provided and agrees to promptly update any changes to their payment details.

 

LATE PAYMENT

Failure to make payment by the due date may result in late payment penalties. The late payment penalty will be calculated at an annual interest rate of 8% above the Bank of England base rate on the outstanding amount. Interest will accrue from the due date until the date of actual payment, compounded quarterly. The Client shall be liable for late payment penalties and the original outstanding amount. The Coach may suspend or withhold services until the outstanding payment, including late payment penalties, is fully settled. This late payment penalty clause does not affect the Coach's other rights or remedies under the Agreement or the law.

COACHING SESSIONS

Coaching sessions will be scheduled based on mutual agreement between the Coach and the Client via video conference. The Client will initiate all scheduled appointments at the agreed-upon time, ensuring a viable internet connection for communication. In-person meetings for business and leadership programs require written approval from the Client.

If the Client initiates the appointment within 15 minutes of the scheduled time, the coaching will proceed for the remaining time and will be considered an entire session. If the Client is more than 15 minutes late, the session will be deemed cancelled, and no refund or rescheduling will be offered. 

In case of potential lateness, the Coach will inform the Client in advance and proceed with a pro-bono offering if exceeding a 15-minute delay.

The Coach may change the sessions' date, time, or location, providing at least 24-hour notice whenever feasible.

CANCELLING AND RESCHEDULING APPOINTMENTS

The Client must notify the Coach via email at least 24 hours in advance to cancel an appointment. If cancelled within 24 hours, a 50% charge will apply, and the Coach will attempt to reschedule the missed meeting. Failure to attend an appointment without notice will result in forfeiture of the entire session, with no refund or rescheduling.

If the Coach cancels an appointment due to unforeseen circumstances, the Coach will give as much notice as possible and coordinate the best way to reschedule.

HOLIDAY BREAKS

Each party can take up to three weeks of holiday break within six months. The Client commits to maintaining daily routines during holidays to preserve progress achieved in coaching sessions.

Scheduled coaching sessions on public holidays will be rescheduled to ensure continuity and progress in the coaching process. Both parties will collaborate to accommodate rescheduling affected by public holidays, ensuring coaching effectiveness. If rescheduling is not feasible within a reasonable timeframe, the session may be postponed to the next available slot without affecting the total number of agreed coaching sessions.

 

DURATION OF COACHING

Coaching will continue for the contracted period, except under extenuating circumstances, where the Agreement can be postponed for up to six months. Failure to start the initial session within six months of payment will result in forfeiture of payments received, and no refunds will be issued.

 

CLIENT'S TERMINATION

 

The Client may terminate this Agreement with one week's written notice. Upon termination, all accrued fees become immediately due and payable.

A full refund, minus a 5% transaction fee, will be issued in the following cases:

  • Unforeseeable and uncontrollable circumstances that hinder the Client's ability to fulfil their obligations.

  • Demonstrated full participation in sessions, completion of assigned work, and no progress achieved despite taking action.

 

COACH'S TERMINATION

 

The Coach retains the right to terminate this Agreement with one week's written notice. Upon termination, all accrued fees become immediately due and payable.

A full refund, minus a 5% transaction fee, will be provided only if unforeseeable and uncontrollable circumstances hinder the Coach's ability to fulfil their obligations.

No refund will be offered in other termination scenarios, including due to the Client's dangerous, criminal, inappropriate, offensive, or manipulative behaviour, the regular response of anger and defensiveness to a challenge and feedback, or disengagement from the coaching process without addressing the disengagement cause.

DISCLOSURE OF ADDICTION, SUBSTANCE ABUSE, OR MENTAL HEALTH TREATMENT

The Client agrees to disclose past or present psychological or psychiatric treatment details. If mental health difficulties arise during the coaching relationship, the Client will promptly notify the Coach for appropriate discussions and referrals if needed.

RESPECT FOR BOUNDARIES

The Client can choose not to discuss specific issues during the coaching session by expressing their preference to the Coach. Delving deeper into emotions may carry a risk of emotional release. The Client is responsible for being vigilant about potential emotional overwhelm and must inform the Coach beforehand if such a concern exists.

The Coach agrees to respect the Client's choice of not discussing specific topics during the coaching session and will refrain from further pursuing any matter that the Client prefers not to explore.

CONFIDENTIALITY

Confidentiality principles bind the coaching relationship and all information the Client shares as per the ICF Code of Ethics. Both Parties recognise that the Coach-Client relationship is not legally confidential, but the Coach maintains confidentiality as outlined in the ICF Code of Ethics.

Confidential information includes information disclosed in writing and marked as confidential or that reasonably should be understood as such.

The Receiving Party shall not disclose or use any confidential information outside the scope of the Agreement without the Disclosing Party's prior written permission. Both Parties agree to protect each other's confidential information with reasonable care.

In case of a breach of confidentiality by the Receiving Party, the Disclosing Party may seek injunctive relief, among other available remedies.

 

EXCEPTIONS TO CONFIDENTIAL INFORMATION

Certain situations do not fall under confidentiality, including publicly known information, information obtained from third parties, legal requirements, imminent risk of danger or harm, and illegal or criminal activities.

COMMUNICATION TECHNOLOGY

The use of technology (e.g., Internet, mobile phones) in coaching interactions is assumed appropriate if chosen by the Client.

CLIENT'S PERMISSION FOR EXTERNAL COMMUNICATION

Written permission is required if the Client wishes the Coach to speak to someone outside their interactions. The Coach will not disclose the Client's name as a reference without written permission.

RELEASE OF INFORMATION

The Client must obtain the Coach's written consent before audio or visual recordings of coaching sessions. 

The Coach will not publicly reference the Client's relationship without prior approval. Both Parties acknowledge that corporate names, trademarks, and ownership rights shall remain the sole property of each, regardless of any authorisation to use names or logos.

For training and maintaining ICF Credentials, the Client agrees to share limited information with ICF staff members. Audio recordings may be required for professional assessment, but identifying personal details will be removed or altered to protect the Client's identity. The Coach will not record video calls.

Coaching discussions may be shared anonymously and hypothetically for training, supervision, and education purposes, with no personal details disclosed that could identify the Client.

RECORD RETENTION POLICY

All records related to the coaching engagement, including communications and digital documents, shall be retained for the duration of the coaching relationship. After the retention period, both Parties may securely dispose of or delete these records to protect sensitive information and confidentiality.

INTELLECTUAL PROPERTY AND COPYRIGHT

Effortless Coaching Practice holds exclusive rights to the name, logo, and trademarks, protected by trademark laws, and any unauthorised use or display of these elements is strictly prohibited. Additionally, all materials and content used or created by the Coach during coaching sessions are the Coach's intellectual property, and the Client is not allowed to use or distribute them without obtaining written consent. The Client is granted a limited license solely for coaching purposes and must refrain from violating the Coach's intellectual property rights, as a breach may result in potential termination and legal action.

All website materials, encompassing text, images, graphics, logos, videos, downloadable files, software, and other intellectual property, are the exclusive property of Effortless Coaching Practice, safeguarded by copyright laws and intellectual property rights. The unauthorised utilisation, reproduction, distribution, or exploitation of these materials is strictly prohibited and may entail severe civil and criminal penalties. Users are granted a limited, non-exclusive, non-transferable license solely for personal, non-commercial use. Downloadable content remains under the Owner's ownership and may be employed for personal, non-commercial purposes. Users must adhere to copyright laws, and any violation may result in legal action seeking damages permitted by law.

USER-GENERATED CONTENT

Users may be allowed to submit content to the website, including comments, reviews, or other user-generated materials. By submitting content, users grant the Owner a perpetual, irrevocable, royalty-free, worldwide license to use, display, reproduce, modify, adapt, publish, translate, and distribute such content for any purpose without any obligation to the user.

EQUAL TREATMENT

The Coach is committed to fostering an inclusive environment that embraces diversity and encourages the participation of Clients with disabilities. To ensure accessibility, all programs are provided virtually, enabling individuals to engage from the comfort of their homes, irrespective of their geographical location.

STATUS

The Coach shall be engaged as an independent contractor, and the Agreement does not create an employer-employee, co-worker, agency, or partnership relationship between the Coach and the Client.

NO GUARANTEES OR WARRANTIES

The Coach makes no guarantees, representations, or warranties of any kind, express or implied, regarding the Services provided, including coaching, conceptual education, and advisory aspects. All Services are provided on an 'as is' basis, and the Client assumes all risks related to the quality, performance, and outcomes of the Services.

The Client is solely responsible for their physical, mental, and emotional well-being, business decisions, choices, and actions resulting from the coaching relationship and interactions with the Coach. The Coach shall not be held liable for any direct or indirect results or effects of the Services provided.

COACHING IS NOT

Coaching is not therapy, so the Coach is not responsible for preventing, curing, or treating any mental disorders or medical diseases.

Coaching is not business consulting or a substitute for professional advice from qualified professionals in various fields.

LIMITATION OF LIABILITY

The Coach will not be liable to the Client for any special, indirect, incidental, or consequential damages, even if advised of the possibility of such damages. The entire risk as to the quality, performance, and result of the Services lies with the Client. And the Coach's liability shall be limited to the amount paid by the Client for all Services rendered through the termination date.

The Coach shall not violate the Agreement if performance is hindered or delayed by the Client's actions, omissions, or external circumstances beyond the Coach's control. The Coach shall not be liable for any costs or losses resulting from such prevention or delay.

INDEMNIFICATION

The Client agrees to indemnify and hold the Coach harmless from any losses arising from actions brought against the Coach due to the Client's use of the Coach's work.

 

EXCEPTION TO LIABILITY LIMITATION

The Coach's liability remains unaffected in cases of death or personal injury resulting from the Coach's negligence, fraud, or fraudulent misrepresentation. The Coach's liability is not limited to instances where the Client timely disclosed potential life-threatening consequences, and the Coach took no preventive measures.

DISPUTE RESOLUTION

In the event of a dispute that cannot be resolved through mutual consent, both Parties agree to attempt mediation in good faith for up to 30 days after providing notice to the other Party. If mediation does not result in a resolution, and legal action becomes necessary, the prevailing Party shall have the right to recover attorney's fees and court costs from the other Party.

GOVERNING LAW

The Agreement and any dispute or claim arising from it shall be governed by and construed under the laws of England and Wales. The Parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute related to the Agreement, including its existence, validity, or termination, without considering any conflicts of laws provisions.

AMENDMENTS

The Coach reserves the right to modify these Terms at her discretion, except for changes related to the fee payable and the number of coaching sessions. In case of any modifications, the Coach will make reasonable efforts to provide prior notice to the Client.

 

These Terms and Conditions constitute the entire agreement between the Client and the Coach and govern the Client's use of coaching services. By engaging in coaching services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions. Any changes, modifications, or amendments to this agreement must be made in writing and signed by both parties. If any provision of these Terms and Conditions is deemed invalid or unenforceable, it will not affect the validity or enforceability of the remaining provisions. The Client and the Coach agree to resolve any disputes or claims arising from this agreement through amicable discussions and in good faith.

The Coach reserves the right to update or modify these Terms and Conditions at any time without prior notice. The most recent version of the Terms and Conditions will be posted on the website. The Client is responsible for reviewing these Terms and Conditions periodically for any changes or updates that may impact them. Continued use of our coaching services after any modifications or updates to these Terms and Conditions constitutes acceptance of those changes.

The Client agrees to the terms and conditions outlined herein by engaging in the coaching services.
